1. About Us
The HR Company UK is a trading name of Business 2 Enterprise Limited, a company registered in England and Wales. Our registered office is at 167-169 Great Portland Street, Fifth Floor, London, W1W 5PF. References to "we", "us", or "our" in these terms refer to Business 2 Enterprise Limited trading as The HR Company UK.
2. Services
We provide HR consultancy, employment law advice, HR software support, health and safety guidance, and related professional services ("Services") to business clients. Our Services are provided to businesses only and are not intended for personal, domestic, or consumer use. Nothing in our advice constitutes legal advice and we recommend you seek independent legal counsel for contentious matters.
3. Engagement and Scope
Our engagement begins when you accept a proposal, sign a service agreement, or make payment for a service. The scope of work is defined in the relevant proposal or service description. Any work outside that scope will be subject to a separate agreement and additional fees. We reserve the right to decline any engagement at our discretion.
4. Fees and Payment
Fees are as set out in your service agreement or on our website at the time of purchase. Retainer fees are payable monthly in advance by direct debit or standing order. Project and ad hoc fees are invoiced on completion or as agreed. Invoices are payable within 14 days of the invoice date. We reserve the right to charge interest on overdue invoices at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. All fees are exclusive of VAT, which will be charged at the prevailing rate where applicable.
5. Cancellation and Refunds
Retainer agreements may be cancelled by either party giving 30 days' written notice. No refund is due for the notice period. For one-off services, cancellation within 48 hours of purchase entitles you to a full refund provided work has not commenced. Once work has commenced, fees are non-refundable except at our discretion. We reserve the right to suspend or terminate services where invoices remain unpaid for more than 30 days.
6. Client Responsibilities
You agree to provide us with accurate, complete, and timely information necessary for us to perform the Services. You acknowledge that the quality of our advice depends on the accuracy of the information you provide. You are responsible for implementing any recommendations we make and for all employment decisions taken by your business. We are not responsible for outcomes arising from your failure to follow our advice or from information you provided that was inaccurate or incomplete.
7. Confidentiality
Both parties agree to keep confidential all information received from the other party that is marked as confidential or that a reasonable person would consider confidential. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law. Our confidentiality obligations to you do not prevent us from using anonymised case studies or aggregated data for training, marketing, or service improvement purposes.
8. Intellectual Property
All intellectual property rights in materials, templates, documents, and tools we create or provide remain vested in Business 2 Enterprise Limited unless expressly agreed otherwise in writing. We grant you a non-exclusive, non-transferable licence to use such materials for your internal business purposes only. You may not reproduce, distribute, or share our materials with third parties without our prior written consent.
9. AI HR Agent
Our AI HR Agent is provided as a guidance tool only. Responses generated by the AI HR Agent do not constitute legal advice and should not be relied upon as a substitute for professional HR or legal counsel. The AI HR Agent is subject to our Fair Usage Policy. We make no warranty that the AI HR Agent will be available at all times or that its responses will be accurate, complete, or up to date. Use of the AI HR Agent is at your own risk.
10. Limitation of Liability
To the fullest extent permitted by law, our total liability to you in connection with the Services (whether in contract, tort, or otherwise) shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim. We shall not be liable for any indirect, consequential, special, or punitive loss, including loss of profit, loss of business, or loss of data. Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. By engaging our Services you acknowledge that we may process personal data relating to your employees and workers as a data processor on your behalf. We will enter into a data processing agreement with you on request.
12. Governing Law and Disputes
These terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales. We will attempt to resolve any dispute informally in the first instance. If we are unable to resolve a dispute within 30 days, either party may refer the matter to mediation before commencing court proceedings.
13. Changes to These Terms
We may update these terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of our Services after the effective date of any changes constitutes your acceptance of the revised terms. The current version of these terms is always available on our website.
14. Entire Agreement
These terms, together with any service agreement, proposal, or order confirmation, constitute the entire agreement between us in relation to the Services and supersede all prior representations, agreements, and understandings. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
